Sapphire Software Mobile Communications Terms of Service

SapphireK12 Inc. d/b/a Sapphire Software (“Sapphire Software” or “we,” “us,” or “our”) uses third-party communication service providers that offer a notification service (the “Service”) which school districts and other Sapphire Software customers (“you” or “your”) can use to send out informational and non-promotional communications through pre-recorded and/or automated phone calls and text messages. Your use of this Service and any calls, text messages, or other communications you send through the Service are governed by the following terms and conditions (“Mobile Terms”).

IMPORTANT, PLEASE READ CAREFULLY: THESE MOBILE TERMS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND SAPPHIRE SOFTWARE. YOUR ACCESS TO AND USE OF THE SERVICE IS CONDITIONED UPON YOUR ACCEPTANCE OF AND COMPLIANCE WITH THESE MOBILE TERMS. BY CLICKING ANY BOX OR BUTTON INDICATING YOUR ACCEPTANCE OF THESE MOBILE TERMS, OR BY OTHERWISE USING OR INTERACTING WITH THE SERVICE, YOU REPRESENT AND WARRANT THAT YOU ARE EIGHTEEN (18) YEARS OF AGE OR OLDER AND ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE MOBILE TERMS FOR THE SERVICE WITHOUT MODIFICATION. DO NOT USE THE SERVICE IF YOU ARE UNWILLING OR UNABLE TO BE BOUND BY THESE MOBILE TERMS.

The Service or any of its features may be modified or cancelled by Sapphire Software or its service providers without notice. To the extent permitted by applicable law, we may also modify these Mobile Terms at any time and your continued use of the Service following the effective date of any such changes shall constitute your acceptance of such changes. We will use commercially reasonable efforts to notify you of material changes to these Mobile Terms. If you do not agree with the changes, your exclusive remedy is to stop using the Service.

By using the Service, you agree that you are responsible for ensuring that your use of the Service complies with all requirements under applicable laws and industry standards for data protection and privacy. These requirements include (a) providing appropriate notices and obtaining consent as legally required so that you can share any personal information or other sensitive data with Sapphire Software and its third-party communication service providers for the purpose of providing the Service on your behalf, and (b) verifying the accuracy of any phone number you use in connection with the Service. Text messages may be sent using an automatic telephone dialing system or other automated technology.

You understand and acknowledge that you are solely responsible for notifying your end users that they do not have to sign up for the Service as a condition of purchasing or using Sapphire Software’s other products or services. Participation in this Service is completely voluntary.

You are further responsible for ensuring that any information you provide in relation to the Service does not violate any agreement or obligation you have with any third party, and warrant that you will comply with all applicable laws regarding the collection, protection, and processing of personal information.

You are responsible for all charges and fees associated with text messaging and phone calls related to your or your end users’ use of the Service, including any charges imposed by your wireless provider. Message frequency varies. Data usage rates or other messaging fees may apply.

You also are solely responsible for notifying your end users of the Service about reasonable methods they can use to opt-out of receiving automated or prerecorded phone calls or text messages sent through the Service. For end users who wish to opt-out of the Service, for example, you must notify such users that they can reply to text messages with “STOP” or otherwise follow the unsubscribe or opt-out instructions in any such message. Such users may receive a one-time opt-out confirmation text message, but no further messages will be sent to their mobile device unless initiated by you.

For support or assistance related to the Service, you agree to notify your end users that they may text “HELP” in response to any message received through the Service or contact Sapphire Software using the following information:

Sapphire Software may change any short code or telephone number we use to operate the Service at any time and will use commercially reasonable efforts to notify you of these changes. You acknowledge that it is your responsibility to notify your end users about any such changes, and that any messages sent to a short code or telephone number we have changed, including any STOP or HELP requests, may not be received and we will not be responsible for honoring requests made in such messages.

Mobile phone or wireless carriers are not liable for any delayed or undelivered messages. You are solely responsible for ensuring that any phone number that you or your end users provide in connection with the Service is a valid and accurate mobile phone number. You agree that you must notify your end users that if they plan to get a new phone number, then they must agree to opt out of the Service prior to changing their number, and acknowledge that they will need to sign up for the Service with the new number.

To the extent permitted under applicable law, you agree to indemnify, defend, and hold Sapphire Software harmless from any third-party claims, liabilities, damages, or costs arising from your or your end users’ use of the Service or from you or your end users providing any phone number without authorization or in violation of applicable law.

To the extent permitted by applicable law, you also agree that we will not be liable for failed, delayed, or misdirected delivery of any information sent through the Service, any errors in such information, and/or any action that you or your end users may or may not take in reliance on the information provided through such Service.
